These Terms & Conditions ("Terms") govern your access to and use of vitalitynowshop.com, any related online services, and any purchases you make from Vitality Now II, LLC ("Vitality Now," "we," "us," or "our") through our Shopify-hosted U.S. e-commerce store, including subscription purchases administered through Shopify, Loop, and related service providers.

By accessing or using the Site, creating an account, placing an order, enrolling in a subscription, or otherwise interacting with our services, you agree to be bound by these Terms. If you do not agree, do not use the Site or purchase products from us.

1. Scope and Acceptance

These Terms apply to:

• your access to and use of vitalitynowshop.com and related pages, content, features, and services (collectively, the "Site"); • one-time purchases of products sold through the Site; and • recurring subscription purchases and related account-management features.

These Terms form a binding agreement between you and Vitality Now II, LLC. Certain areas of the Site, promotions, subscriptions, or features may be subject to additional terms, policies, or disclosures presented at the time of use. If those additional terms conflict with these Terms, the additional terms control for that specific feature or offering.

1. Eligibility and Permitted Use

You may use the Site only if:

• you are located in the United States; • you are at least the age of majority in your state of residence; an • you have the legal capacity to enter into a binding agreement.

You agree to use the Site only for lawful, personal, and non-commercial purposes unless we expressly authorize otherwise in writing. Any use of the Site for unauthorized resale, distribution, or commercial exploitation is prohibited.

1. Account Registration and Security

Certain features of the Site, including order history, subscription management, and saved preferences, may require an account.

If you create an account, you agree to:

• provide current, complete, and accurate information;

• maintain and promptly update your information;

• keep your login credentials confidential;

• restrict access to your account and devices; and

• notify us promptly at contact@vitalitynowshop.com or 18005990746 if you suspect unauthorized access or use.

You are responsible for all activities occurring under your account unless caused by our failure to exercise reasonable security measures. We may suspend or terminate accounts, reject orders, or limit access if we reasonably believe an account is being used unlawfully, fraudulently, abusively, or in violation of these Terms.

1. Product Information; Wellness and FDA Disclosures

We make reasonable efforts to describe our products accurately, including ingredients, features, sizes, pricing, and availability. However:

• product descriptions, images, packaging, colors, and labels may vary;

• products may be updated, reformulated, discontinued, or replaced without notice;

• availability may change at any time; and

• product information may contain typographical, pricing, or other errors.

Our products may include supplements, wellness, nutrition, personal-care, or related items. Unless specifically stated otherwise in writing:

• statements on the Site have not necessarily been evaluated by the U.S. Food and Drug Administration;

• our products are not intended to diagnose, treat, cure, or prevent any disease;

• Site content is provided for general informational purposes only and is not medical advice;

• you should consult a qualified healthcare professional before using any product, especially if you are pregnant, nursing, have a medical condition, take medication, or are considering use for a child.

You are responsible for reviewing product labels, ingredient lists, allergen information, warnings, and instructions before use.

1. Orders; Acceptance; Availability; Quantity Limits; Pricing Errors

5.1 Order Submission

When you place an order, you are making an offer to purchase the selected products subject to these Terms and any applicable disclosures presented at checkout.

5.2 Order Acceptance

We may accept, reject, limit, or cancel any order in our discretion, including after an order confirmation is sent, for reasons including:

• product unavailability; • suspected fraud or unauthorized activity; • pricing, description, or inventory errors; • suspected resale or bulk purchasing activity; • shipping limitations; • payment authorization failure; or • compliance, legal, or safety concerns.

An email confirmation acknowledging receipt of your order does not necessarily mean that we have accepted your order. Order acceptance occurs when we process and fulfill the order.

5.3 Quantity Limits

We may impose limits on quantities purchased per person, household, address, account, payment method, or order. We may also refuse orders that appear to be placed by dealers, resellers, exporters, or distributors.

5.4 Pricing and Errors

All prices are shown in U.S. dollars unless otherwise indicated. We reserve the right to correct any pricing, promotional, typographical, or other errors at any time, including after an order is submitted. If a material error affects your order, we may cancel it and notify you, or contact you for instructions before fulfillment.

1. Payment, Taxes, and Authorization

By placing an order, you represent and warrant that:

• you are authorized to use the payment method provided; • the billing information you submit is accurate and complete; and • you authorize us and our third-party processors to charge the payment method for the total amount of your order, including product price, shipping, handling, taxes, and any other disclosed charges.

We use third-party payment processors in connection with the Site. We generally do not receive or store your full payment card number. Payment credentials may be securely stored by Shopify, payment processors, or subscription-service providers in accordance with their systems and policies.

You agree to pay all applicable:

• sales, use, excise, and similar taxes; • shipping and handling charges; and • other amounts disclosed before you complete your purchase.

If your payment method is declined, expires, is canceled, or cannot be verified, we may:

• suspend or cancel your order; • request an alternative payment method; • retry the charge through our processors to complete an authorized transaction; or • suspend subscription fulfillment until payment is successfully processed.

1. Shipping, Delivery, and Risk of Loss

We will make reasonable efforts to ship products within the estimated timeframes displayed on the Site or provided in your order confirmation, but shipping and delivery dates are estimates only and are not guaranteed.

You are responsible for providing a complete and accurate shipping address. We are not liable for delays, losses, or additional costs caused by:

• incorrect addresses; • refused delivery; • carrier delays; • severe weather; • supply disruptions; • events outside our reasonable control; or • other circumstances affecting fulfillment or transport.

Unless otherwise required by applicable law, risk of loss and title to products pass to you upon our delivery of the products to the carrier.

1. Returns, Refunds, and Exchanges

Our return and refund practices are governed by the return policy posted on the Site and incorporated into these Terms by reference. At minimum, the Site should clearly disclose:

• the return window, currently 30 days from delivery unless otherwise stated; • the condition required for returns; • any non-returnable or final-sale items;

• whether return shipping is customer-paid or company-paid;

• the method of refund; and

• expected processing times.

Unless required by law or expressly stated in our posted return policy:

• shipping charges are non-refundable;

• promotional items may need to be returned or may affect refund value;

• products marked final sale, clearance, personalized, opened, perishable, or otherwise non-returnable may not be eligible for return; and

• we may refuse returns that do not comply with our posted requirements.

Refunds, if approved, will generally be issued to the original payment method. Processing times may vary by financial institution or payment provider.

1. Subscriptions and Automatic Renewal

9.1 Subscription Offerings

Certain products may be offered on a recurring purchase or subscription basis. Subscription features may be provided through Shopify, Loop, and related service providers.

9.2 Pre-Purchase Disclosures

Before you complete a subscription purchase, we will present the material subscription terms, including as applicable:

• the subscription product(s);

• the selected price or pricing formula;

• the billing frequency;

• the delivery frequency;

• applicable taxes, shipping, and other charges;

• whether the subscription renews automatically;

• any minimum purchase commitment;

• any free trial, introductory offer, discount, gift, or promotion;

• the cancellation method;

• the cancellation deadline for avoiding the next recurring charge or shipment; and

• where to access the full subscription terms after enrollment.

These disclosures are intended to be presented conspicuously on the product page, cart, checkout, account portal, confirmation, or related interfaces.

9.3 Automatic Renewal and Recurring Authorization

By enrolling in a subscription, you agree that the subscription will automatically renew at the frequency you selected unless and until you cancel. You authorize Vitality Now II, LLC, together with our payment processors and subscription providers, to charge your payment method for each recurring order, including:

• the then-applicable subscription price;

• any disclosed shipping and handling charges; and

• applicable taxes.

The amount and timing of each recurring charge will depend on the subscription plan you select and any disclosed promotional terms.

9.4 Stored Payment Credentials and Tokens

To process recurring orders, your payment method, or a tokenized representation of it, may be stored securely by Shopify, payment processors, Loop, or other authorized service providers. We may receive limited payment-related information necessary to administer your account, orders, renewals, failed payments, cancellations, and refunds, but we generally do not store your full card number.

9.5 Billing and Processing Timing

Recurring charges may be submitted shortly before or at the time a subscription order is processed. Your account portal or enrollment confirmation will identify the applicable billing and delivery schedule.

To avoid the next recurring charge or shipment, you must cancel before the stated cutoff, currently [SUBSCRIPTION PROCESSING CUTOFF] before the next scheduled processing date, unless a different deadline is disclosed when you enroll or manage your subscription.

9.6 Failed Payments and Retries

If a recurring charge fails, you authorize us and our service providers to:

• retry the payment method;

• attempt collection through an updated card provided by the issuer or payment network, where available;

• notify you to update your billing information; and

• pause, skip, delay, or cancel future shipments until payment is successfully completed.

9.7 Free Trials, Introductory Pricing, and Promotions

If you enroll through a free trial, discounted introductory period, promotional shipment, or similar offer, we will disclose:

• the duration of the promotional period;

• the amount and frequency of charges after the promotion ends;

• any conditions or limitations; and

• how and when to cancel to avoid future charges.

Unless otherwise stated, when a promotional period ends, the subscription will continue automatically at the standard recurring price and frequency then in effect until canceled.

9.8 Enrollment Acknowledgment

After subscription enrollment, we will send you a retainable acknowledgment, such as by email, confirming the subscription terms and providing information on how to manage or cancel the subscription.

9.9 Renewal Reminders and Change Notices

Where required by applicable law, we will send renewal reminders, trial-end notices, or other required notices for subscriptions with promotional periods, long renewal terms, or other triggering features.

If we make a material change to your subscription, such as a material price increase, significant change in billing frequency, or other material term change, we will provide advance notice and an opportunity to cancel before the change takes effect, where required by law.

9.10 Cancellation

You may cancel a subscription at any time, and we will provide a cancellation mechanism that is at least as simple as, and available through the same medium you used for, enrollment. You may cancel through your customer account, subscription-management portal, or other online method we make available, including through www.vitalitynowshop.com. If you enrolled through another method, you may also cancel by contacting us at contact@vitalitynowshop.com or 18005990746. We will not require you to complete unnecessary steps, offers, or retention interactions in order to cancel.

Cancellation will stop future recurring charges and future subscription orders that have not yet been processed. However:

• cancellation does not ordinarily affect an order that has already been processed;

• if a recurring charge has already been submitted for the next order before cancellation becomes effective, that order may still ship;

• any refund for an already-processed subscription order will be governed by our posted return policy or any mandatory law.

9.11 Subscription Misuse

We may suspend or terminate subscriptions, limit quantities, or restrict account access if we believe a subscription is being used for resale, abuse, fraud, chargeback manipulation, or other prohibited conduct.

1. Promotions, Discount Codes, and Special Offers

Promotions, coupon codes, bundles, gifts, sweepstakes, and special offers are subject to the specific terms presented with the offer.

Unless expressly stated otherwise:

• promotions have no cash value;

• promotions may not be combined;

• promotions may be limited by product, inventory, customer, household, account, or time period;

• we may modify or discontinue promotions at any time;

• improperly obtained or used promotions are void; and

• if a return causes the terms of a promotion no longer to be satisfied, we may reduce the refund accordingly.

1. Resale Restrictions

Unless we expressly approve otherwise in writing, products purchased through the Site are intended for end-user use only and may not be resold on third-party marketplaces or channels, including platforms such as Amazon, eBay, Etsy, or other websites or marketplaces not owned or operated by Vitality Now.

We may reject or cancel orders, limit quantities, suspend accounts, or decline future purchases where we suspect unauthorized resale, diversion, export, or marketplace distribution.

1. Reviews, Feedback, and User Content

If you submit reviews, testimonials, comments, photos, videos, suggestions, ideas, survey responses, or other content ("User Content"), you:

• represent that you own or control the necessary rights to submit it;

• represent that it is accurate and not misleading to the best of your knowledge;

• agree that it will not violate any law or third-party right;

• agree that it will not contain defamatory, obscene, harassing, infringing, or otherwise unlawful material.

You grant Vitality Now a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, host, store, reproduce, modify, adapt, publish, display, distribute, and otherwise exploit User Content in connection with our business, marketing, products, and services, subject to applicable law and our Privacy Policy.

We may, but are not obligated to, monitor, remove, edit, or refuse User Content in our discretion.

1. Intellectual Property

The Site and its contents, including text, graphics, logos, icons, images, videos, audio, software, compilations, designs, and trademarks, are owned by or licensed to Vitality Now or our licensors and are protected by U.S. and other applicable intellectual property laws.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for personal, non-commercial use. You may not:

• copy, reproduce, republish, upload, post, transmit, distribute, or exploit Site content except as permitted by law or with our prior written consent;

• modify or create derivative works from the Site;

• reverse engineer, decompile, or attempt to extract source code from Site software, except where prohibited by law;

• remove copyright, trademark, or proprietary notices; or

• use our trademarks, trade dress, or branding without prior written permission.

1. Acceptable Use

You agree not to:

• use the Site for unlawful, fraudulent, deceptive, or abusive purposes;

• interfere with Site security, functionality, or performance;

• scrape, crawl, harvest, or data-mine Site content without written authorization;

• introduce malware, viruses, or harmful code;

• attempt unauthorized access to accounts, systems, or data;

• impersonate another person or misrepresent your affiliation;

• post false reviews or misleading content;

• use automated means to place orders, redeem promotions, or manipulate subscriptions; or

• violate any applicable law, regulation, or third-party right.

We may investigate suspected violations and take any action we deem appropriate, including removing content, canceling orders, suspending accounts, referring matters to law enforcement, or pursuing legal remedies.

1. Third-Party Services and Platforms

The Site is hosted and supported in part by third-party service providers, including Shopify for commerce infrastructure and Loop for subscription management. We may also use third parties for payment processing, fraud prevention, shipping, analytics, customer service, marketing, communications, and related business operations.

Your use of third-party tools, wallets, payment methods, linked websites, apps, or services may also be subject to those third parties' own terms and policies. We are not responsible for third-party websites, content, acts, or omissions, except as required by law.

Our inclusion of or integration with a third-party service does not imply endorsement or guarantee of that service.

1. Privacy Policy

Our collection, use, disclosure, and other processing of personal information is described in our separate Privacy Policy, available at https://vitalitynowshop.myshopify.com/pages/privacy. The Privacy Policy is incorporated into these Terms by reference, but it is a separate document and does not replace these Terms.

1. Electronic Communications; Email and SMS

17.1 Electronic Communications Generally

By using the Site, creating an account, or placing an order, you agree to receive electronic communications from us, including by email, through your account, or by text message where applicable. You agree that electronic communications may satisfy any legal requirement that a communication be in writing, to the extent permitted by law.

17.2 Operational Emails and Text Messages

When you provide contact information in connection with an order, account, or subscription, you agree that we and our service providers may send operational or transactional communications related to:

• order confirmations;

• shipment and delivery updates;

• account security;

• payment issues;

• subscription renewals, skips, pauses, and cancellations;

• product recalls or safety notices; and

• customer service.

These operational communications are separate from marketing communications and may be sent as needed to service your order, account, or subscription.

17.3 Marketing Emails

If you opt in to receive marketing emails, we may send promotional messages, product news, and offers. You may unsubscribe from marketing emails at any time using the unsubscribe link in the message or by contacting contact@vitalitynowshop.com. Unsubscribing from marketing emails will not stop operational or legally required communications.

17.4 Marketing Text Messages; TCPA-Oriented Consent

Where required by law, including for certain autodialed or automated marketing text messages, we will obtain your separate affirmative consent before sending marketing texts.

If you choose to opt in, the consent language should appear separately from order completion and should clearly state that:

• consent is not a condition of purchase;

• you agree to receive recurring automated promotional and personalized marketing text messages from or on behalf of Vitality Now at the mobile number provided;

• message frequency varies;

• message and data rates may apply;

• you may reply STOP to opt out and HELP for help; and

• you may revoke consent through any reasonable method that clearly communicates your request.

You agree that any opt-in to marketing texts must be made through a clear affirmative action, such as checking an unchecked box or submitting a dedicated form. We will maintain suppression records and honor opt-out or other reasonable revocation requests as required by applicable law.

1. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE, ALL CONTENT, AND ALL PRODUCTS AND SERVICES MADE AVAILABLE THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

WITHOUT LIMITING THE FOREGOING, VITALITY NOW DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.

We do not warrant that:

• the Site will be uninterrupted, secure, or error-free;

• defects will be corrected;

• the Site or servers are free of viruses or harmful components; or

• the Site, content, or products will meet your expectations or achieve any intended result.

Nothing in these Terms excludes any warranty or consumer protection right that cannot be excluded or limited under applicable law.

1. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VITALITY NOW AND ITS OFFICERS, DIRECTORS, MEMBERS, MANAGERS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, SERVICE PROVIDERS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SITE, THE PRODUCTS, THE SERVICES, OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF VITALITY NOW FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE, ANY ORDER, ANY SUBSCRIPTION, ANY PRODUCT, OR THESE TERMS SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TO VITALITY NOW FOR THE SPECIFIC PRODUCT OR SUBSCRIPTION GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR $100.00.

Some states do not allow the exclusion or limitation of certain damages or implied warranties. Accordingly, some of the above limitations may not apply to you. Nothing in these Terms limits liability for fraud, gross negligence, willful misconduct, personal injury, or any liability that cannot be limited under applicable law.

1. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Vitality Now and its officers, directors, members, managers, employees, agents, affiliates, licensors, service providers, and suppliers from and against any claims, actions, demands, liabilities, damages, judgments, awards, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

• your breach of these Terms;

• your misuse of the Site;

• your violation of any law or regulation;

• your infringement or misappropriation of any third-party rights; or

• your User Content.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense of such matter.

1. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to the Site, any order, any subscription, or these Terms shall be governed by the laws of the State of Texas, without regard to conflict-of-laws rules.

Before filing a lawsuit, both parties agree to attempt in good faith to resolve the dispute informally by written notice sent to:

You must include your name, contact information, order number if applicable, and a description of the dispute. We will do the same if we initiate a dispute notice to you. If the parties do not resolve the dispute within 60 days after notice, either party may pursue available legal remedies.

Unless otherwise required by applicable law:

• disputes must be brought exclusively in the state or federal courts located in [Canton], Ohio; and

• you consent to the personal jurisdiction and venue of those courts.

Nothing in this section prevents either party from seeking temporary, preliminary, or injunctive relief in a court of competent jurisdiction to protect rights or property pending final resolution.

21.1 Waiver of Class Actions and Jury Trial

To the fullest extent permitted by applicable law, you and Vitality Now agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. Unless both parties agree otherwise in writing, no court may consolidate more than one person's claims or preside over any form of a class or representative proceeding. To the fullest extent permitted by applicable law, you and Vitality Now each waive any right to a trial by jury in any action, proceeding, or counterclaim arising out of or relating to the Site, any order, any subscription, any product, or these Terms.

21.2 Time Limitation on Claims

To the fullest extent permitted by applicable law, any claim or cause of action arising out of or relating to the Site, any order, any subscription, any product, or these Terms must be filed within one (1) year after the claim or cause of action arose; otherwise, it is permanently barred. This limitation does not apply where prohibited by applicable law.

If you prefer to include arbitration instead of court litigation, this section should be revised before publication. As drafted, it uses Texas court venue language rather than arbitration.

1. Changes to These Terms

We may update these Terms from time to time. When we do, we will post the revised version on the Site and update the "Last Updated" date above.

Changes will apply prospectively unless otherwise stated. If required by law, we will provide additional notice for material changes. Your continued use of the Site after revised Terms become effective constitutes your acceptance of the revised Terms, except to the extent prohibited by law.

Material changes to active subscriptions will also be subject to the subscription notice standards described in Section 9.

1. Severability, Waiver, Assignment, and Entire Agreement

23.1 Severability

If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect to the fullest extent permitted by law.

23.2 Waiver

No waiver by Vitality Now of any provision or breach shall be deemed a continuing waiver or a waiver of any other provision or breach. Any waiver must be in writing to be effective.

23.3 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign these Terms, in whole or in part, to an affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of assets.

23.4 Entire Agreement

These Terms, together with any policies, disclosures, or additional terms expressly incorporated by reference, constitute the entire agreement between you and Vitality Now regarding the Site and your purchases, and supersede prior or contemporaneous understandings relating to the same subject matter.

23.5 Force Majeure

Vitality Now will not be liable or responsible for any failure to perform, or delay in performance of, any obligation that is caused by an act or event beyond its reasonable control, including strikes or labor disputes, supply-chain disruptions, failures or delays of carriers or service providers, acts of God, epidemics or pandemics, governmental actions, war, terrorism, civil unrest, fire, flood, severe weather, power or internet outages, or failures of third-party platforms such as Shopify or Loop.

23.6 Survival

Any provision that by its nature should survive termination or expiration of these Terms will survive, including provisions relating to intellectual property, disclaimers of warranties, limitation of liability, indemnification, governing law and dispute resolution, and these general provisions.

Vitality Now is committed to making the Site accessible to all users, including individuals with disabilities, and strives to conform to generally recognized accessibility standards. If you have difficulty accessing any portion of the Site, or need assistance placing an order or managing or canceling a subscription due to a disability, please contact us at contact@vitalitynowshop.com or 18005990746, and we will work with you to provide the information, product, or service you need through an alternative method. We welcome feedback on the accessibility of the Site.
